Nevada Corporation
In order to incorporate in Nevada, a company must file its
Articles of Incorporation with the Nevada Secretary of State.
The owners of the Nevada corporation are known as shareholders.
There must be at least one shareholder for a Nevada corporation,
and there is generally no limit on the number of shareholders
for a Nevada corporation, except in the case of a S-corporation.
A Nevada corporation's Bylaws are the basic guidelines, along
with any pertinent statutes, regarding how the corporation
will operate. In addition, quite often a Nevada corporation
will have a Shareholders' Agreement which is used to further
detail any agreements made by the shareholders, such as issues
regarding control, income distributions, manner in which a
shareholder can transfer his/her shares, etc.

Nevada LLC
A Nevada limited liability company (LLC) is created by filing
Articles of Organization with the Secretary of State. The
owners of a Nevada LLC are known as members. The affairs of
a Nevada LLC are handled by managers or the members, as compared
to a corporation that has officers and directors. Nevada LLC's
usually have a written Operating Agreement that details items
such as management, control, distributions, members' rights,
ability to transfer ownership positions, etc. In addition,
the members may choose to prepare an additional Membership
Agreement that serves much like a Shareholders' Agreement
of a corporation.
